7. Orders and Payment

All orders placed through our website are subject to acceptance and availability. Submission of an order constitutes an offer to purchase and does not guarantee fulfillment. Stroude Research reserves the right, at its sole discretion, to accept, refuse, or cancel any order for any reason, including but not limited to:

All prices are listed in United States Dollars (USD) and are subject to change without notice. Payment must be completed in full at the time of purchase using the approved payment methods presented at checkout. You represent that you are authorized to use the payment method provided. In the event of a pricing error, we reserve the right to cancel the affected order and issue a full refund.

8. Shipping and Delivery

Products are shipped in accordance with applicable federal, state, and international regulations governing the transport of research-grade chemical compounds. It is the Purchaser's sole responsibility to ensure that import, possession, and use of ordered products is lawful in the destination jurisdiction prior to placing an order.

Stroude Research does not guarantee specific delivery dates. Estimated shipping timelines are provided for reference only and may be affected by carrier delays, customs processing, weather conditions, or other factors beyond our control. Risk of loss and title for products pass to the Purchaser upon delivery to the carrier. We are not liable for products lost, delayed, or damaged in transit; however, we will make reasonable efforts to assist in resolving carrier-related claims.

Orders refused, returned, or undeliverable due to incorrect shipping information provided by the Purchaser, or due to regulatory seizure resulting from the Purchaser's failure to verify legal permissibility in their jurisdiction, will not be eligible for refund of shipping costs.

9. Certificates of Analysis

Where provided, Certificates of Analysis ("COA") are issued on a per-batch basis and apply solely to the specific lot number identified therein. COAs are provided for reference and quality-documentation purposes only and do not constitute a warranty, guarantee, or representation of fitness for any particular research application or experimental purpose.

COA data reflects analytical results obtained under controlled testing conditions and pertains exclusively to the tested batch. Stroude Research makes no representation that results from one batch are indicative of any other batch. COAs do not imply regulatory approval, clinical validation, or suitability for use outside of the defined in vitro research context.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Stroude RESEARCH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your use or inability to use our products or services
• Any injury, illness, adverse reaction, death, or other harm resulting from misuse, unauthorized use, or improper handling of our products
• Regulatory action, seizure, or legal consequences arising from your failure to comply with applicable laws in your jurisdiction

• Any interruption, suspension, or cessation of website services

IN NO EVENT SHALL OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR PRODUCTS EXCEED THE AMOUNT PAID BY YOU TO Stroude RESEARCH IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Stroude Research, its officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, liabilities, expenses, and costs — including reasonable attorneys' fees — arising from or related to:

• Your violation of any provision of these Terms
• Your misuse or unauthorized use of products purchased from Stroude Research
• Your violation of any applicable law, regulation, or third-party right
• Any claim by a third party arising from your use or distribution of our products
• Your failure to comply with the research-use-only restrictions set forth herein
• Any resale or transfer of products for human or animal use or other prohibited purposes

This indemnification obligation shall survive the termination or expiration of these Terms and your use of our website and products.

12. Disclaimer of Warranties

ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" FOR IN VITRO RESEARCH USE ONLY, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, STROUDE RESEARCH DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We make no representations or warranties that any product is suitable for any specific research application, that specifications are error-free, or that any defects will be corrected. Nothing on this website constitutes an endorsement of any specific research methodology or outcome.

13. Account Suspension and Termination

Stroude Research reserves the right to suspend, restrict, or permanently terminate any user account — and cancel any pending or future orders associated with that account — at its sole discretion, without prior notice or liability, upon determination that:

• You have violated any provision of these Terms
• You have provided false, misleading, or unverifiable information regarding your identity, credentials, or research purpose
• You have used, attempted to use, or facilitated the use of products for any prohibited purpose, including human or animal use or resale for such purposes
• You have engaged in fraudulent, abusive, or unlawful conduct in connection with this website or any purchase
• Applicable law, regulation, or judicial order requires suspension or termination
• Continued account access presents a legal, reputational, or compliance risk to Stroude Research

Upon termination, your right to access this website and purchase products immediately ceases. Provisions of these Terms that by their nature should survive termination — including research-use restrictions, indemnification, limitation of liability, and governing law — shall continue to apply.

14. Governing Law and Dispute Resolution
